# Design Partner Addendum

> Supplemental terms for design partners evaluating Swell: feedback, data offboarding, and confidentiality.

This Design Partner Addendum ("Addendum") supplements the [Terms of Service](/terms) and [Privacy Policy](/privacy) when San Gregorio Labs Inc. ("Swell") and a design partner ("Partner") enter a formal design-partnership evaluation. If this Addendum conflicts with the Terms on a covered topic, this Addendum controls for the partnership period.

## 1. Feedback and product input

Partner may provide feedback, bug reports, feature ideas, and workflow observations ("Feedback") during the partnership.

* Swell may use Feedback to improve the Service without restriction or compensation, **except** that Partner retains ownership of Feedback it created before sharing it with Swell.
* Swell will not publicly attribute Feedback to Partner or disclose Partner's internal processes without Partner's written consent.
* Feedback does not grant Partner any ownership in Swell's product, code, or roadmap.

## 2. Data export and offboarding

When the design partnership ends (by either party):

1. Partner may request an export of account profile data and any coaching session metadata still within Swell's live retention window by emailing [hello@tryswell.co](mailto:hello@tryswell.co).
2. Swell will delete or anonymize Partner account data within **30 days** of a written offboarding request, subject to legal retention requirements and backup rotation schedules described in the [Privacy Policy](/privacy).
3. Transcript content is subject to Swell's standard 24-hour application purge; content outside that window may not be recoverable.

## 3. Mutual confidentiality

Each party agrees to keep the other party's non-public business, product, and roadmap information ("Confidential Information") confidential during the partnership and for **two years** after it ends.

Confidential Information does not include information that: (a) is or becomes public without breach; (b) was already known without restriction; (c) is independently developed; or (d) is required to be disclosed by law (with prompt notice where permitted).

Partner may disclose Swell's security documentation (including this portal) to its IT and legal reviewers under standard confidentiality obligations.

## 4. No enterprise SLA

This Addendum does not create a production SLA, uptime guarantee, or dedicated support tier unless separately agreed in writing.

## 5. Term and precedence

This Addendum applies only while Partner is an active design partner under a written or email-confirmed evaluation agreement with Swell. When the partnership ends, the standard [Terms of Service](/terms) apply without this Addendum.
